About The Role
We are seeking a highly skilled Securities Attorney to join our dynamic legal team. This role involves advising clients on federal and state securities law compliance, preparing and filing various registration statements and disclosures, and managing complex securities transactions such as private placements, public offerings, reverse mergers, and PIPE transactions. The successful candidate will guide clients through uplisting and exchange compliance processes, respond to SEC comment letters, and oversee SEC and FINRA investigations. Additionally, this position entails collaborating with the Corporate department on mergers and acquisitions and related transactions. The role offers a hybrid remote work environment, providing flexibility while maintaining high standards of legal service and client satisfaction.
Qualifications
The ideal candidate will possess a Juris Doctor (J.D.) degree and be licensed to practice law in Florida. A minimum of four years of experience focused on securities law is required, with demonstrated expertise in advising on 1934 Act reporting and 1933 Act registered and exempt offerings. Candidates should have substantial experience with SEC reporting and compliance, reverse mergers, venture capital, and private equity financings. Proven ability to independently manage filings, reports, and transaction execution is essential. Strong communication skills, attention to detail, and the capacity to handle multiple complex projects simultaneously are vital for success in this role.
Responsibilities
- Advise clients on federal and state securities law compliance, ensuring adherence to all relevant regulations and statutes.
- Prepare, review, and file registration statements, 10-Ks, 10-Qs, 8-Ks, proxy statements, and other required disclosures with regulatory authorities.
- Handle private placements, public offerings, reverse mergers, and PIPE transactions, providing strategic guidance throughout each process.
- Assist clients with uplisting procedures and exchange compliance, including transitions from OTC to NASDAQ or NYSE listings.
- Counsel issuers, underwriters, and investors involved in capital markets transactions, ensuring legal and regulatory compliance.
- Coordinate annual and special shareholder meetings, manage proxy matters, and facilitate effective communication with stakeholders.
- Respond to SEC comment letters, manage SEC and FINRA investigations, and ensure timely resolution of regulatory inquiries.
- Oversee Regulation D, S, and A+ offerings, including drafting and reviewing disclosure documentation.
- Collaborate closely with the Corporate department on mergers, acquisitions, and other transactional work to support client objectives.
